  3. Payment is due on the billing date — late payment takes the site offline until settled
  4. Restarting after a lapse requires signing a new contract
  5. Pay via Cash App, Venmo, or Zelle — whichever works for you

Neptune Estudio — Web Design & Hosting Service Agreement

This Agreement is entered into between Emilio Neptune ("Service Provider"), located at [Service Provider's Address], reachable at [Service Provider's Phone Number], and [Client Business Name] ("Client"), represented by [Client Contact Name], reachable at [Client Phone Number].

1. Services

Service Provider will design, build, host, and maintain a custom website for Client. Each website is built from scratch — there is no fixed limit on pages or sections; scope is based on Client's needs as discussed prior to signing.

2. Pricing

Monthly Rate: [Monthly Rate] per month. This covers hosting, maintenance, and unlimited content updates as described in Section 3, and remains fixed for the duration of the Term selected in Section 6.

3. What's Included

Covered, no-cost updates include any change to existing content — text, photos, hours, pricing, menus, logos, and similar edits. If Client is unhappy with the overall design, a full redesign of the existing site is included at no additional charge.

Update requests are typically completed the same day, and no later than 48 hours after the request is received.

4. Optional Add-Ons

The following are billed separately from the Monthly Rate:

  • On-site photography/videography: [Photography Session Rate] per session, subject to Service Provider's availability and service area.
  • A separate website for a different business: treated as a new project and quoted independently.
  • Transfer of website files (Section 9): available for an additional fee, quoted at the time of the request.
  • Connecting a Client-owned domain (Section 10): included at no cost — if you already have a .com or similar domain, pointing it to your site is free.
  • Purchasing a new custom domain on Client's behalf (e.g., a Google domain instead of the default Netlify subdomain): quoted at the time of the request, as the cost comes out of pocket for Service Provider.
5. Free Trial

Before this Agreement is signed, the completed website is made live for a 7-day trial at no cost and with no obligation. If Client chooses to continue after the trial, this Agreement is signed and the Term below begins.

6. Term

This Agreement begins on [Start Date] for an initial term of [Term Length] (the "Term").

At the end of the Term, continued service requires a new signed agreement — this Agreement does not renew automatically.

Client may extend the Term at any time by written agreement (for example, from 3 months to 12), but may not shorten an active Term.

7. Payment

Payment is due on the same date each month as the Start Date (or the last day of the month, if that date doesn't exist in a given month).

If payment is not received by the due date, the Website will be taken offline with no late fee, and will be restored once payment is received.

8. Early Termination

Client may end this Agreement before the Term ends by giving at least one week's written notice (text or email is sufficient). Upon early termination, the Website is taken offline immediately. Client remains responsible for the Monthly Rate for each remaining month of the original Term, due on the same schedule as Section 7, regardless of whether the Website remains active. This reflects the agreed value of the Term at signing and is not a penalty.

9. Ownership & Files

Service Provider retains ownership of the website files and source code at all times. If this Agreement ends for any reason — completed Term, early termination, or non-payment — Client's access ends and the Website is taken offline.

Client may request a copy of the website files for an additional fee, quoted at the time of the request.

10. Domains

If Client owns a domain (for example, a .com address), Client is responsible for keeping that registration active and paid. Connecting that domain to the Website is included at no additional cost.

If Client does not have a domain and wishes to use a custom domain instead of the default Netlify subdomain, Service Provider can purchase one on Client's behalf for an additional fee, quoted at the time of the request.

11. Photography & Media Rights

For any photography/video add-on, Service Provider retains the right to use the resulting media for the Website, portfolio, and marketing purposes, in addition to its use on Client's Website.

12. Maintenance & Hosting

Bug fixes and routine maintenance are included in the Monthly Rate at no additional cost.

Service Provider is not liable for downtime caused by third-party hosting providers. If such downtime exceeds 36 hours, Service Provider will migrate the Website to a new host at no additional cost to Client.

13. No Guarantee of Results

Service Provider builds and maintains the Website to a high standard, but does not guarantee specific business outcomes such as increased sales, traffic, or search engine rankings.

14. Independent Contractor

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, or partnership relationship between the parties.

15. Confidentiality

Both parties agree to keep confidential any private business or financial information shared in connection with this Agreement, and not to disclose it to third parties without consent.

16. Force Majeure

Neither party is responsible for delays caused by events beyond their reasonable control, including natural disasters or internet/utility outages.

17. Disputes

If a disagreement arises under this Agreement, both parties agree to discuss the issue in good faith before pursuing other action.

18. Governing Law

This Agreement is governed by the laws of the State of North Carolina.
